What is the Role:
This is an ideal position for a motivated individual who is passionate about driving best in class corporate governance standards and being a trusted adviser to key senior stakeholders. The role holder is the named Company Secretary for an important, regulated, full-service bank operating in the UK.
The AIB Company Secretary team ensures there is a simple, efficient, and compliant corporate governance structure in place to support AIB Group. In the UK team, we provide company secretarial support and corporate governance advice to the UK Board of Directors, the Chair, the Senior Management Team, including the Managing Director, and the Board Committees (which include Audit, Risk and Nomination). We drive and monitor compliance with legal and regulatory corporate governance and companies act compliance requirements and Related Party Lending Obligations.
This hands-on role requires initiative, sharp attention to detail and excellent influencing and communication skills. You will also need to effectively manage relationships, to work with senior executives and Directors, and be able to learn and adapt quickly. Importantly, you will need to lead an established, effective team, providing guidance where needed.
Key accountabilities:
- Leading an effective team to ensure delivery of the highest professional standards in service and support to the Board, its committees and to the Senior Management team of AIB Group UK.
- Providing leadership, mentorship and support to other team members to develop their corporate governance knowledge and experience as appropriate.
- Acting as named Committee Secretary and as secretary to the Board and its committees.
- Understanding our corporate governance obligations on a continuous basis and ensuring an appropriate framework is in place to meet these objectives.
- Building trust with our key stakeholders by working with them to understand their needs and by delivering on our commitments in the most efficient way possible.
- Leading out on and support the delivery of strategic initiatives that may arise from time to time across the Team.
- Work with the wider Company Secretary, Corporate Governance and Corporate Affairs Teams in fulfilling the broader accountabilities of the function in an enhanced control environment.
What You Will Bring:
- At least 8 years’ experience working in a corporate governance or company secretarial role in the recent past, or in an assurance, audit, finance or risk function in a regulated financial services company with a broad understanding of a bank’s core businesses and operations.
- Strong communication and stakeholder management skills with proven confidence and ability to influence stakeholders.
- Ability to work efficiently under pressure, in a fast-paced environment and to manage competing priorities with tight deadlines.
- Ability to inspire and to work collaboratively with others within your team and external to it, to achieve shared objectives.
- A relevant accounting, legal, business or governance qualification desirable at either graduate or postgraduate / professional level. Membership of Corporate Governance Institute (or working towards this) would be an advantage.
